Terms of Service

Please read these Terms of Service carefully before using Tagmatic. By creating an account or using the Service, you agree to be bound by these terms.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Tagmatic ("Tagmatic", "we", "our", or "us") governing your use of the Tagmatic annotation platform and API available at tagmatic.app (the "Service").


1. Description of Service

Tagmatic provides an AI-powered data annotation platform that enables machine learning teams to:

  • Classify, extract, span-label, and boolean-annotate text at scale via REST API
  • Run batch annotation jobs with webhook callbacks
  • Monitor annotation quality through consistency scoring (Cohen's κ), gold set benchmarking, and drift detection
  • Collaborate with team members via role-based access control
  • Route low-confidence outputs to a human review queue

The Service is provided on a subscription basis, as further described in Section 5 (Payment Terms).


2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

2.2 Account Security

You are responsible for maintaining the security of your account credentials, including your authentication email and all API keys generated under your account. You agree to:

  • Keep your API keys confidential; do not share them publicly (e.g., in GitHub repositories)
  • Immediately notify us at tagmatic@polsia.app if you suspect unauthorized access
  • Be responsible for all activity occurring under your account, including charges incurred

2.3 Accuracy of Information

You agree to provide accurate and current information when registering and to keep your account information up to date.


3. Acceptable Use

3.1 Permitted Use

You may use the Service solely for lawful purposes in connection with your machine learning, AI development, or data labeling workflows.

3.2 Prohibited Activities

You agree not to:

  • Violate laws — Use the Service in violation of any applicable local, national, or international law or regulation
  • Submit harmful content — Submit text containing child sexual abuse material, instructions for mass violence, or content that violates the Anthropic usage policies governing the underlying AI model
  • Abuse the API — Attempt to reverse-engineer the annotation models, circumvent rate limits, or resell API access as a white-label service without written authorization
  • Scrape or crawl — Use automated means to access the web interface outside of the documented API
  • Interfere with infrastructure — Conduct denial-of-service attacks, inject malicious code, or otherwise disrupt the Service
  • Misrepresent identity — Create multiple free accounts to circumvent usage limits, or impersonate another person or entity
  • Violate third-party rights — Submit data that infringes intellectual property rights or violates the privacy rights of third parties

We reserve the right to suspend or terminate accounts that violate these provisions, with or without prior notice depending on severity.


4. API Usage Limits and Fair Use

4.1 Plan Quotas

Each subscription plan includes a monthly annotation quota:

  • Free: 500 annotations/month
  • Starter: 10,000 annotations/month
  • Pro: 100,000 annotations/month
  • Enterprise: Custom quota by agreement

Quotas reset on the first day of each billing cycle. Unused annotations do not roll over.

4.2 Rate Limits

API requests are subject to rate limiting to ensure fair access for all users. Current limits are communicated via response headers (X-RateLimit-Limit, X-RateLimit-Remaining, X-RateLimit-Reset). Exceeding rate limits returns an HTTP 429 response with a Retry-After header.

4.3 Fair Use

If your usage significantly exceeds reasonable patterns for your plan tier (e.g., bulk abuse of the Free plan), we reserve the right to throttle, suspend, or migrate your account to an appropriate plan with reasonable notice.


5. Payment Terms

5.1 Subscription Billing

Paid plans are billed monthly or annually in advance. Billing begins on the date you upgrade and renews automatically on the same day each billing cycle unless cancelled.

5.2 Payment Method

Payments are processed by Stripe, Inc. By providing a payment method, you authorize us to charge that method for all subscription fees. You agree to Stripe's Privacy Policy and Terms of Service.

5.3 Price Changes

We reserve the right to change subscription prices with at least 30 days' written notice. If you do not cancel before the next renewal date following the price change, you agree to the new pricing.

5.4 Cancellation

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then. We do not provide prorated refunds for mid-cycle cancellations unless required by law.

5.5 Taxes

Subscription fees are exclusive of applicable taxes. You are responsible for paying all taxes, levies, or duties imposed by taxing authorities. Where required, we will add applicable taxes to your invoice.

5.6 Disputed Charges

If you believe you have been charged in error, contact us at tagmatic@polsia.app within 60 days of the charge. We will investigate and, if appropriate, issue a refund or credit.


6. Data Ownership and Processing

6.1 Your Data Belongs to You

You own all input data, annotation schemas, gold set examples, and annotation results generated through your use of the Service. Tagmatic claims no intellectual property rights over your data.

6.2 License to Process

By submitting data to the Service, you grant Tagmatic a limited, non-exclusive, worldwide license to process, store, and transmit that data solely to provide and improve the Service. This license terminates when you delete the data or your account.

6.3 No Training on Your Data

Tagmatic does not use your annotation input text or results to train, fine-tune, or improve any AI models, either proprietary or third-party.

6.4 Data Processing Agreement

Enterprise customers who require a Data Processing Agreement (DPA) for GDPR compliance may request one by contacting tagmatic@polsia.app.


7. Intellectual Property

7.1 Tagmatic Platform

The Service, including the web interface, API, documentation, and all underlying technology, is owned by Tagmatic and protected by intellectual property laws. These Terms do not grant you any rights to Tagmatic's trademarks, trade dress, or proprietary technology except as expressly set forth herein.

7.2 Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service. You waive any claims to compensation for such feedback.


8. Service Availability and SLA

8.1 Uptime Target

We target 99.5% monthly uptime for the API, excluding scheduled maintenance windows. Current service status is available at tagmatic.app/status.

8.2 Scheduled Maintenance

We will provide advance notice of scheduled maintenance that may affect API availability. Emergency maintenance required to address security incidents or critical failures may occur without advance notice.

8.3 No SLA Guarantee on Free Plan

Service availability guarantees apply only to paid plans. The Free plan is provided on a best-effort basis.


9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF ANNOTATION RESULTS, AND NON-INFRINGEMENT.

Tagmatic does not warrant that: (a) the Service will be uninterrupted or error-free; (b) annotation results will be accurate, complete, or suitable for any particular use case; (c) the Service will meet your specific requirements. AI-generated annotation results should be validated before use in production systems.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAGMATIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF TAGMATIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Tagmatic's total cumulative liability to you for any claims arising under or related to these Terms or the Service shall not exceed the greater of: (a) the amount you paid to Tagmatic in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages. In such jurisdictions, the above limitations apply only to the extent permitted by law.


11. Indemnification

You agree to indemnify, defend, and hold harmless Tagmatic and its affiliates, officers, agents, and employees from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law; (c) your infringement of any third-party rights; or (d) the data you submit to the Service.


12. Termination

12.1 Termination by You

You may terminate your account at any time by requesting deletion via email to tagmatic@polsia.app or through your account dashboard where available. Termination does not entitle you to a refund of prepaid fees.

12.2 Termination by Tagmatic

We may suspend or terminate your account, with or without notice, if:

  • You materially breach these Terms and fail to cure within 10 days of written notice (or immediately for egregious violations)
  • We are required to do so by law or legal process
  • We discontinue the Service (with 60 days' prior notice to paid customers)

12.3 Effect of Termination

Upon termination: (a) your right to access the Service ceases immediately; (b) you may request an export of your data within 30 days before it is permanently deleted; (c) all accrued payment obligations survive termination.


13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation. If unresolved after 30 days, disputes shall be resolved by binding arbitration under the JAMS Streamlined Arbitration Rules, conducted in English, with a single arbitrator. The arbitration shall take place in Delaware or via video conference.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.


14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any order forms or addenda executed between the parties, constitute the entire agreement between you and Tagmatic regarding the Service and supersede all prior agreements or understandings.

14.2 Modifications

We may modify these Terms by posting an updated version on the Service. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance. If you disagree with a material change, you may terminate your account before the change takes effect.

14.3 Severability

If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and all other provisions will remain in full force.

14.4 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

14.5 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign our rights to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets.

14.6 Force Majeure

Neither party will be liable for delays or failures in performance resulting from causes beyond their reasonable control, including acts of God, internet outages, or government actions.
